CONSTITUTION OF OLUYOLE CLUB, LAGOS.

REVISED CONSTITUTION

 ARTICLE I – NAME:

 The Club shall be a private members Club and shall be known and called “OLUYOLE CLUB, LAGOS”.

The Headquarters of the Club shall be in Lagos. The Club may approve the establishment of Chapters in or outside Nigeria.

ARTICLE II – AIMS AND OBJECTIVES:

The aims and objectives of the Club shall be:

(a)       To develop and promote Cultural, Intellectual and Social Welfare of its members and Ibadan.

(b)       To promote economic and commercial activities in pursuance of the aims and objectives of the Club.                                                                                                                 

(c)       To co-operate with and promote similar cultural and social organizations      in the pursuit of the above objectives.                                                                                               

(d)       In pursuance of these objectives, the Club may establish or promote facilities through which the aims and objectives may be achieved, or as the Executive Committee may deem necessary or expedient.

ARTICLE III – PATRON & TRUSTEES

PATRON

  • The Club shall have a patron, who shall be the Olubadan of Ibadan.
  • The patron shall be kept informed from time to time of the activities of the Club, and his advice sought on major projects initiated by or subscribed to by the Club.

TRUSTEES

  • The Club shall also have five trustees for the purpose of “Land” (Perpetual Succession) Ordinance Cap. 98 Laws of Nigeria and shall be appointed at Annual General Meeting.
  • Such Trustees hereinafter referred to as the “Trustees” shall be five in Number and shall be known as the “Registered Trustees” of the Club.
  • Only past Presidents shall be eligible for appointment as Trustees.
  • The Trustees shall have a common seal shall be kept in the custody of the Honorary General Secretary who shall produce it as at when necessary.

(e)        The Trustees may hold office for life.

(f)         All Documents to be executed by the Trustees shall be signed by at least three of them and sealed with the common seal in conjunction with the Honorary Secretary.                                                                                                   

ARTICLE IV – MEMBERSHIP

  • Membership of the Club shall be open to male indigenes of Ibadan not less than 21 years old and deemed eligible by the Executive Committee having regard to his standing in the Community.
  • The Club shall have the following categories of members:
  • Resident Members
  • Non- Resident Members
  • Distant Members (Overseas)
  • Honorary Members                  
  • All members must subscribe to Group life Insurance scheme of the Club which shall be determined from time to time.

DEFINITION OF MEMBERSHIP                      

  • “Resident Members” are those who live or work in Lagos.
  • “Non-Resident Members” are those who are ordinarily residing outside the area specified in b(i) above.
  • “Honorary Members” are those who have substantial contributions to the Welfare and progress of standard, goals, and aspiration and development of the Club.

APPLICATION FOR MEMBERSHIP: 

(a) Application for membership shall be made in writing on a prescribed from and delivered to the General Secretary.

(b) The Applicant shall be proposed and seconded by two persons, both of whom should have been financial members of Club for at least five years and shall Vouch from their personal knowledge, for the fitness and eligibility of the candidate as in the prescribed form.

(c)  Members who object to the candidature of any other Committee appointed for the purpose to state their objections which the Committee shall take into consideration in arriving at a decision.

(d)  The decision of the Executive Community in recommending or rejecting any application, shall be final.

(e)  Upon the approval of an applicant, notice in writing thereof shall be given to him by the General Secretary of the Club, within one month, starting conditions of membership and requesting payment of enrolment fee and first annual subscription.                                                                                                           

(f)  Upon payment of his enrolments fee, and first annual subscription, he shall become a member of the Club, and be entitled to all benefits, privileges and obligations of membership.  

    ARTICLE V – RESIGNATION AND LOSS OF MEMBERSHIP

  • Any member has the right to resign or withdraw his membership anytime for any or no reason. The reason for such resignation shall be investigated.
  • Any member whose activities, utterances or behavior are considered to be contrary to the aims and objectives of the Club shall be referred to Disciplinary Committee for necessary recommendation to Executive Committee.
  • A member shall be deemed to have lost his membership if he

(a)         Is found guilty of gross misconduct and expelled by the Club.

(b)         Becomes insane.

(c)         Is officially declared bankrupt:

(d)       Is convicted of criminal offence by a court of competent jurisdiction.

(e)          Is in arrears of his dues and levies for up to 21 months.

(f)          Does not attend at least one-third of the monthly general meeting Called one year except this does not apply to non-resident members and other categories of membership.

(g)         A member who has lost his membership as in (c) (v) above may be Reinstated if he makes good the arrears or make a written promise to the Club.

    ARTICLE VIEXECUTIVE AUTHORITY AND ADMINISTRATION OF THE CLUB                     

     The Executive Authority and Administration of the Club shall be vested in the 

     Executive Committee which shall be responsible to the General Meeting.

    ARTICLE VII – OFFICERS OF THE CLUB

  • The Officer of the Club shall be as follows:
    • President
    • 1st President
    • 2nd President
    • Honorary General Secretary
    • General Secretary
    • Treasurer
    • Financial Secretary
    • Social Secretary
    • Publicity Secretary
    • Sergeant-At-Arms
    • Legal Adviser
    • Welfare Secretary
    • Un-official Members (2)
    • Immediate past President
  • The Executive Committee shall consist of all the officers listed in VII (1) above.

             The President reserves the right to coopt any member/s into the 

             Executive Committee as and when desirable.

COMMITTEES OF THE CLUB

There shall be the following:

  • Membership Committee
  • Finance & General-Purpose Committee
  • Social Committee
  • Welfare Committee
  • Scholarship Committee
  • Disciplinary committee

The above committees shall be Standing Committees. Ad hoc Committees may be appointed as the occasion demands.

TENURE OF OFFICE

    • No officer shall hold the same office for more than three years in

succession.

(b)       Each officer shall hold office until his successor takes office.

(c)       No member shall be eligible to hold any office until he has 

            completed two years as a member of the Club, provided that a 

            member who has not completed two years in the Club, may be 

            elected by 2/3 majority of members of present and qualified to 

            vote at the meeting at the meeting at which such a matter is

           discussed.

     ARTTICLE XVII – MEETINGS, OUORUMS AND ELECTIONS

  • THE ANNUAL GERNERAL MEETING

The Annual General Meeting of the Club shall be held in the month of April in each year upon a date time to be fixed by the Executive Committee for the following purposes.

  • To receive from the Executive Committee, reports in respect of the Club’s

activities, balance sheet and statement of account for the preceding financial year and recommendation for the coming one.

  • To decide on any resolutions which may be duly submitted to the meeting.
  • To elect officers and members of the Executive Committee which are due.
  • To appoint a replacement of a deceased Trustee.
  • No other business shall be transacted at the annual General Meeting unless notice in writing shall have been given to the General Secretary not unless than 14 days before the date of the meeting.
  • Fourteen days before the Annual General Meeting, a notice of such meeting and of business to be transacted shall be forwarded to members and every member shall be deemed to have received such notice.

GENERAL MEETING:

General Meeting shall be held once a month.

SPECIAL GENERAL MEETING.

The President may, at any time, for any special purpose, call a Special General Meeting, or at the request in writing of any ten members stating the purpose for which the meeting is required, the General Secretary shall summon a Special General Meeting giving at least seven days’ notice.

QUORUMS:

  1. At the Annual General Meeting 20 qualified members Including the President / or the Vice-Presidents, the General Secretary and any other member of the Executive Committee shall form the Quorum.
  1. At ordinary and Special General Meetings, 15 members shall form  

       the Quorum including at least 3 members of the Executive.

  1. At the Executive Committee Meetings: Any five (5) officers Including the President or the Vice-Presidents, the General Secretary or the Assistant General Secretary shall form the Quorum.
  • PROCEDURE AT MEETINGS:
  • At General and Executive Meetings decisions shall be arrived at by

show of hands and simple majority.

b       Every member present shall be entitled to one vote upon every 

         motion, and in case of equality of vote, the Chairman shall have a 

         casting vote.

  • ELECTIONS:
  • Election of officers into the Executive Committee shall be by secret

ballot and by simple majority.

  • In the event of any office becoming vacant for any reason before

the Annual General Meeting, the Executive Committee shall have power to elect an acting successor at next Annual General Meeting.

  • No members shall be elected an officer of the Club unless he has

been duly Proposed and seconded and he is a qualified member.

ARTICLE IX – REVENUE OF THE CLUB

(i)   The revenue of the club shall be derived form:

  • Membership dues, subscriptions and levies.
  • Donations and collections from members and others.
  • Proceeds from investments

(ii)   The revenue and property of the club howsoever derived shall be applied solely towards the promotion of the aims and objectives of the club. Nothing therein shall however prevent the payment in good faith, of remuneration to any officers or servants of, or person employed by the club, or any member of the Club, or other person, in return for any services actually rendered to the club.

ARTICLE X – POWER TO MAKE REGULATIONS

  • The Executive Committee may make regulations as are necessary or expedient for giving full effect to the provision of this constitution.
  • Any such regulations made shall be approved by a majority of the

members present at a general meeting and shall take effect from the date decided at such meeting.

  • Any question concerning the interpretation of any of the provisions of this

Constitution or any regulations made there under shall be referred to Executive Committee whose decision shall be final.

ARTICLES XI – AMENDMENT

This Constitution and regulations made under it may be amended, repealed or suspended by the club, provided that such amendments, suspension or revocation shall not be effective unless by a resolution passed by two-thirds of the members present and voting at Annual General Meeting.

                                  

OLUYOLE CLUB, LAGOS. REGULATIONS                           

  1. POWERS OF THE EXECUTIVE COMMITTEE

Subject to the final approval of the general house, the Executive

Committee shall have powers:

  • To borrow any monies required for the purpose of the Club upon such securities as may be determined.
  • To purchase, take on lease or in exchange, hire or otherwise acquire any real or personal property, and rights or privileges which the club may think necessary or convenient for any of the purpose of the Club.
  • To sell, manage, lease, mortgage, dispose of, or otherwise deal with all or any Part of the property of the club.
  • To invest and deal with the monies of the club not immediately required in such manners as may from time to time be determined by the Executive Committee and to place any such deposit with bankers, financial or mercantile houses.
  1. FUNCTIONS OF THE EXECUTIVE COMMITTEE AND OFFICERS OF THE CLUB
  • Act for and on behalf of the club.

(ii)        Decide the location of the registered office and / or any change of this if and when required.                                                              (iii)        Admit and enroll members into the club.                             

(iv)        Fix or alter the enrolment fee, annual subscriptions and levies as     and when required.                                                                           (v)          Invest and deal with the monies, and properties of the club from time to time as may be deemed fit.            

(vi)       Undertake any development programme for the benefit of the club. Such exercise of power shall receive a two-third majority of the members present at such a meeting.                                                                              

  • Convene general and emergency meeting of the club as deemed necessary or required.
  • Appoint committees and co-opt members to perform specific duties and function in furtherance of the aims and objectives of the club.
  • Appoint Trustees of the club.
  • Appoint an internal auditor to examine the books of the club annually.
  • Create endowment or revolving funds for general or specific purposes such as the relief of needy members or indigent student with the approval of the General Meeting.

 

  1. THE PRESIDENT                                                                                                                                                                                                            The president shall be the head of the Executive and administration of the club.

(i)        Preside at all and every meeting of the club at which he is present.

(ii)       Have responsibility for the observance of the club’s rules and conventions.

(iii)      Act for and on behalf of the club when and if necessary, in conjunction                        with any officer or member of the club.

(iv)      Direct other members of the club in the conduct of their assigned                                responsibilities.                      

  • Exercise such power as may be vested by the Executive Committees or Annual General Meeting.                   
  • Be a signatory to all the club’s Bank Accounts.
  • Give an annual address at the Annual General Meeting.
  1. VICE PRESIDENTS

                   4.1.    1st V.P.

  • Will be eligible to become the president at the expiration of the President’s term of office.      
  • Act for and as president in the absence of the president
  • During the acting period, he shall have all such powers as are vested in the president.

                 4.2.      2nd V.P.

  • Will be eligible to become 1st VP at the expiration of the 1st Vice

president’s term of office.                                                                            

  • Act for and as 1st VP and also as president in the absence of both 1st VP and president.   
  • During the acting period, have all such powers as are vested in the 1stP          or president as may be necessary.
  1. THE GENERAL SECRETARY Shall:
  • Give a detailed report of the activities of the club at the Annual General Meeting.
  • Prepare, issue and review regularly membership directory (including members usual occupation and other useful details as necessary).
  • Conduct all correspondence on behalf of the club and have custody of all documents.
  • Have custody of the common seal of the club.
  • Send all circulars for meetings and take minutes of the proceedings of the meetings.
  • Perform such other functions may be directed by the Executive

Committee.

  • Be a signatory to the club’s Bank Account
  1. THE ASSITANT GENERAL SECRETARY Shall:
  • Assist the General Secretary in the performance of his duties and act for the General Secretary in his absence.

(ii)        Perform such executive functions as the Executive Committee, the president or the General Secretary may assign him.

               (iii)         Record minutes of meetings at general meetings.

  1. 7THE TREASURER Shall:
  • Be responsible for the collection and safekeeping of all monies belonging to the club.
  • Keep a proper book for the receipts and expenses of the club in strict accordance with accounting principles.
  • Prepare financial statement of the club annually and present the statement of accounts to the Annual General Meeting.
  • Be signatory to all cheques of the club jointly with the president or in the absence of both of them, the General Secretary.
  • Present Annual Financial Report to Executive Committee.
  1. THE FINANCIAL SECRETARY Shall:
  • Be responsible for ensuring that all levies, dues and contributions of

members are promptly paid and delivered to the Treasurer.

(ii)       Send notices of indebtedness to all members regularly.

  1. THE SOCIAL SECRETARY Shall:

Shall conduct the social activities of the club in accordance with the resolution and decisions of the Executive Committee or the Annual General Meeting.

  1. THE PUBLICITY SECRETARY Shall:

(i)     Be responsible for maximum publicity of the activities of the club and 

         its members.

  1. THE WELFARE SECRETARY Shall:
  • Collection information on the welfare of member on a monthly basis and report to the Executive Committee.
  1. BANKERS:

The Executive Committee shall appoint any reputable Bank as the Bankers of   the club.

13       AUDITOR

The club shall appoint an Internal Auditor amongst members who will carry out audit of the club’s finances annually or as may be determined by Executive Committee.

14       STANDING COMMITTEES

            (i)      Membership

             Considers applications for admission, expulsion and any matters

relating to membership standing.

          (ii)      Social

Prepares and presents the social programme for the year and sees to the execution of the programme.

         (iii)     Welfare          

Presents a monthly report to the Executive Committee concerning the welfare of members.

         (iv)    Finance & General Purposes Committee

                  Prepares the budget and programme of activities of the club.

         (v)     Scholarship Committee

Vets all applications for club’s scholarship and post-graduate awards and recommends to Exco a final list for approval.

(vi)           Disciplinary Committee

  1. DATE OF RATTIFICATION

The foregoing revised Constitution, Rules and Regulations were passed at the club’s monthly meeting held at

 Oluyole Club, Lagos was founded on the 14th of March, 1968 as a Cultural, non-political and non-profit making association of Ibadan indigenes resident in Lagos. The club was formally established by a resolution taken at 30, Ekololu Street, Surulere, Lagos. Among the foundation members of the club were Chief Durojaiye, Chief Kola Daisi, Alhaji A.O.G Otiti, Dr (Engr) Ajibade Olubode, Mr. Dejo Akinosun, Engr. Adebayo Oke, Chief N. O. Idowu, Chief Bode Amao, Dr. Lekan Are, Arc. Chief Olayiwola Balogun, Chief Omowale Kuye, Mr. Justice Diekola Ogundere, Dr. Olajire Akinleye and Mr. Oladele Amao. The first president was Prof. R. A. Akinola while Dr. Ajibade Olubode was the General Secretary.

Ordinary General Meetings of the Club are held on the second Sunday of every month in Lagos or Ibadan as may be the choice of the host except in December which is for the preparation of our Annual party/ Lecture/ Bursary Awards.
